Terms of Service

By accessing or using Smart Notes AI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

Smart Notes AI is an AI-powered note-taking application that allows you to:

• Create notes from text input
• Process and summarize images using AI
• Convert audio recordings and audio files into notes
• Extract and summarize content from web pages
• Generate notes from YouTube video transcripts
• Process and analyze PDF documents
• Organize notes into folders
• Access premium features through subscription plans

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3.1 Account Creation: To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination: We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason we deem necessary.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringe upon intellectual property rights, including copyrights, trademarks, or patents
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the Service or related systems
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service for any commercial purpose without our express written consent
• Reverse engineer, decompile, or disassemble any part of the Service

5.1 Ownership: You retain ownership of all content you create, upload, or submit to the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

5.2 Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all necessary rights to grant the license described above.

5.3 Content Removal: We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or inappropriate.

6.1 Service Ownership: The Service, including its original content, features, and functionality, is owned by us and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Trademarks: Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6.3 Third-Party Content: The Service may contain content from third parties, including AI-generated content. Such content is protected by applicable intellectual property laws.

7.1 Subscription Plans: We offer free and premium subscription plans. Premium plans provide access to additional features and higher usage limits.

7.2 Payment Terms: Subscription fees are billed in advance on a recurring basis (monthly or annually) according to your selected plan. Payments are processed through third-party payment providers (Apple App Store, Google Play Store, or Paddle).

7.3 Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date. You can manage your subscription through your account settings or the applicable app store.

7.4 Refunds: Refund policies are governed by the terms of the app store or payment provider through which you purchased the subscription. For web app subscriptions purchased through the Paddle service, refund requests should be directed to Paddle in accordance with their refund policy. We do not provide direct refunds for subscriptions purchased through app stores.

7.5 Price Changes: We reserve the right to modify subscription prices. Price changes will be communicated in advance and will apply to subsequent billing cycles.

Free accounts are subject to usage limitations, including but not limited to:

• Limited number of notes that can be created
• Restricted access to certain premium features
• Standard processing speeds

We reserve the right to modify these limitations at any time.

9.1 AI Processing: The Service uses artificial intelligence to process, summarize, and generate content from your inputs. AI-generated content is provided "as is" and may not always be accurate, complete, or error-free.

9.2 No Warranty: We do not warrant the accuracy, completeness, or usefulness of AI-generated content. You are responsible for reviewing and verifying any AI-generated content before relying on it.

9.3 Third-Party AI Services: We may use third-party AI services to process your content. Your use of these services is subject to their respective terms and privacy policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free of viruses or other harmful components
• The results obtained from using the Service will be accurate or reliable

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your User Content, or your violation of these Terms.

13.1 Termination by You: You may terminate your account at any time by deleting your account through the Service or by contacting us.

13.2 Termination by Us: We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms.

13.3 Effect of Termination: Upon termination, your right to use the Service will cease immediately. We may delete your account and User Content, subject to our data retention policies.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the appropriate courts of that jurisdiction.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. The invalid provision will be replaced with a valid provision that most closely approximates the intent of the original provision.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
